Affiliate Program Terms and Conditions

By joining as an Affiliate to the Framework360 Affiliate Program, you explicitly accept the constraints of the following Terms of Use. Before subscribing, please make sure to read carefully the terms of the Affiliate Program.

• Do not use the Framework360 Affiliate Program for any illegal or unauthorized purpose. During your use, you must not violate any laws in your area/state/country.
• Do not share with End Users the Commission received through the Framework360 Affiliate Program. The Commission cannot be redistributed in any way among you, your employees, or any other third party, including End Users.
• It is not possible to use or mention in any way: (i) the Framework360 trademark as a keyword in your advertising campaigns and on all search engines, including any mistakes in the brand name; (ii) use the Framework360 trademark in your website's domain name, including any mistakes in the brand name.
• Do not alter trademarks, banners, content, or images provided by us without our prior written consent.
• Fraud is a serious offense and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually refreshing pages, solely for the purpose of generating commissions. ANY ATTEMPT OF FRAUD OR TO CAUSE DAMAGE WILL RESULT IN THE TERMINATION OF YOUR ACCOUNT AND ALL GENERATED COMMISSIONS.
• Do not SPAM. We will cancel your account at the first sign of spamming. Do not send emails to lists or groups that have not authorized you to send them.
• You will not receive Commissions for self-referrals and for Affiliates who violate the Terms of the Marketing Studio and Framework360 Affiliate Program. It is also not allowed to exploit the name of the Company/Business you work for in order to generate Commissions.

Definitions

• “Framework360” – refers to accessing, viewing, and registering on the online marketing platform, applications, and tools accessible through the Framework360.it website.
• “Affiliate” – means any individual or legal entity that has completed the registration process and has been admitted to the Framework360 and Marketing Studio Affiliate Program.
• “End User” – refers to an active user who has signed up for a free plan or a paid subscription at Framework360.
• “Framework360 Affiliate Program” – is a commercial collaboration agreement through which Marketing Studio recognizes a Commission to the Affiliate on subscriptions signed up by End Users who have registered on the website https://www.framework360.it, under the conditions set out below.
• “Final Amount” – refers to the share of subscription, renewal, and costs for upgrades or downgrades actually paid by an End User to use Framework360. The Final Amount will be: (i) calculated net of any discounts, promotional coupons, and taxes (ii) to be calculated including any subsequent refunds to the End User.
• “Referral Link” – refers to a link to Framework360.it that contains your referral ID. You will receive your referral ID within the Framework360 Affiliate Platform.
• “Cookie Duration” – refers to a validity period of 120 days, starting from the date of the End User's first click on the Affiliate's Referral Link, according to the terms of the Framework360 Affiliate Program.
• “Commission” – refers to the monetary compensation received for participation in the Framework360 Affiliate Program. The Commission consists of a percentage of the Final Amount of the sale.
• “Third Party” – refers to any natural or legal person other than the parties indicated in this agreement.
• “Affiliate Area” – refers to a specific area within Framework360, where personal information is stored and where it is possible to monitor affiliate activity, including information on Commission payments.

Affiliate Rights

We grant you, unless expressly restricted, a non-transferable and non-exclusive right to:

• illustrate and promote Framework360 to your contacts and customers.
• provide End Users with access to the use of Framework360, in accordance with this agreement and the terms and conditions of Framework360, provided that the End Users have accepted the terms and conditions of Framework360.

Affiliate Obligations

• The Affiliate must have a registered and active account on the Framework360 platform. To sign up, you must be of legal age.
• You must provide a valid email address and all other information required in the registration form.
• All information provided in your Account profile and Affiliate Area must be truthful. You are solely responsible for all information provided in the Account profile and on the website you own or manage.
• You will be the sole responsible for the management and maintenance of your website and all the materials that appear on it. Ensure that the content published on your website does not violate third-party rights (including, for example, copyright, trademarks, privacy or other personal or proprietary rights). You will be solely responsible for the accuracy, truthfulness, and compliance of the content published on your website. We accept no responsibility for links leading from your site to any other website different from framework360.it and for any content that may be found by following links to third-party websites.
• The prices of Framework360, and therefore the related commissions, are subject to possible changes determined by Marketing Studio according to its commercial policies. These changes may affect both the Commission you will earn and the truthfulness of the information you have provided to your contacts. It is an Affiliate's obligation to update this information. We cannot guarantee the availability of subscriptions at the prices listed on your website in case they turn out to be outdated.

Framework360's Obligations

Marketing Studio commits to:

• provide the Affiliate with all kinds of information about the services it promotes and the functioning of the Affiliate Program;
• provide an Affiliate Area for viewing orders, commissions, payments, and statistics;
• keep the Affiliate Area updated with any due commissions and fulfilled orders;
• acknowledge the Affiliate's commissions on fulfilled orders, calculated according to agreed terms;
• supply promotional materials and marketing support;
• update the Affiliate on every novelty regarding the platform and service.

Privacy policy

Marketing Studio respects the privacy of its users and does not disclose personal information to third parties without the explicit consent of the user. Here you can read our  Privacy Policy.

The personal data requested from the Affiliate for the execution of this Agreement are used by Marketing Studio solely for administrative purposes and to comply with legal obligations. All Affiliate data is processed in accordance with current privacy regulations, pursuant to Article 13 of Legislative Decree No. 196/2003.

Commission Recognition

• The starting Commission is equal to 20% (twenty percent) of the Final Sale Amount, calculated net of any discounts, promotional coupons, and taxes.
• The Commission is recognized only on sales made by End Users who have registered with Framework360 through the Affiliate's Referral Link within the validity period of the Cookie, which is within 120 days from the date of the first click on the Referral Link. A sale occurs when an End User makes a payment for a service or to subscribe to a commercial plan of Marketing Studio during the validity period of this Agreement.
• The Commission will not be recognized if the End User cancels, fails to pay, or requests a refund for Marketing Studio services or the Framework360 subscription. The structure of the Commission is subject to change at our discretion.
• The Commission also applies to subsequent renewals made by the End User, provided that the Affiliate is eligible to receive a Commission under the terms of the Framework360 Affiliate Program. If at any time the End User's account is deleted, suspended, or refunded, you will not be able to receive the Commission on future purchases of that End User.
• The statistics collected and calculated by Framework360 will be the only ones valid for determining Commissions.
• Commissions earned through fraudulent, illegal, or overly aggressive sales or marketing methods will be voided and will also result in immediate cancellation of the account.

Payment of Commissions

Commission payments can be requested through cash payment or credits redeemable within the platform.

Commission payments will be made via the method chosen by the Affiliate in their user area.

Invoicing of Commissions

In order to receive cash payments, the Affiliate must have an active VAT number and must issue an invoice before receiving payment.

In the absence of a VAT number, commission payments will be made in the form of credits usable for Marketing Studio services and subscriptions.

Duration of the Agreement

This Agreement shall commence upon confirmation of admission to the Framework360 Affiliate Program. Marketing Studio reserves the right to evaluate each application for membership and to reject it at its sole discretion.

The Agreement is entered into free of charge and either party may terminate it at any time by written notice, to be sent via email.

Marketing Studio reserves the right, at its sole discretion, to cancel this Agreement in the event of suspicious, fraudulent, illegal, excessive, or non-compliant use with the terms of the Framework360 Affiliate Program. Termination of the Agreement will result in the deactivation of the Affiliate Account and the loss of all potential or payable Commissions.

Limitation of Liability

Marketing Studio commits to keeping its website active and fully operational, except in cases of force majeure or interruptions due to maintenance work. In any case, Marketing Studio shall not be held liable for such interruptions and the consequences thereof.

No compensation will be granted in case of malfunctions or data loss. The service is offered without any warranty. Under no circumstances shall Marketing Studio be held liable for unlawful conduct by the Affiliate or for any investments made by the Affiliate in the context of participation.

Furthermore, Marketing Studio is in no way responsible for the content of its Affiliates' websites.

Amendments and Variations to the Agreement

Marketing Studio reserves the right to modify the terms and conditions governing this Agreement at any time, promptly notifying the Affiliate via email.

The Affiliate's right to terminate by written notice, sent by fax or email, is unaffected. In the absence of communication from the Affiliate, the changes made are considered accepted.

Competent Court

This Agreement is governed by Italian law. For any dispute concerning its execution and/or interpretation, the competent court shall be exclusively that of Turin (TO). The costs will be borne by the Affiliate resorting to the court.

Conclusions

The Affiliate is required to comply with this Agreement in all its parts. Any abuse will lead to the immediate termination of the commercial collaboration agreement and will be reported to the competent authorities.

The Affiliate declares as true and is responsible for all data provided to join the Framework360 Affiliate Program. The Affiliate consents to the processing of their personal data, in accordance with article 13 of Legislative Decree no. 196 of June 30, 2003 on privacy, and accepts the terms and conditions of membership in the Framework360 Affiliate Program contained in this Agreement.

The Affiliate declares to be of legal age and fully aware of the responsibilities that accepting a contract entails and the possible consequences in case of violation. Furthermore, the Affiliate declares to consider truthful and accept any type of data processed by the Framework360 affiliate software.
